Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern the advisory relationship, website access, and consulting engagements provided by Systemaxisbase Consulting Co., Ltd. ("Systemaxisbase," "we," "us," or "our"), having its registered address at Xiaolin Zhang, No.44, Sec 5, Zhongzheng N Rd, Sanchong District, New Taipei City, 241. By engaging our consulting practice, accessing our publications, or entering into a Statement of Work (SOW), you ("Client" or "User") agree to be bound by these Terms.

2. Nature of Professional Consulting Services

Systemaxisbase provides independent software architecture advisory, systems integration blueprints, protocol translation specifications, and technical audit reports. Specific deliverables, project milestones, compensation terms, and delivery schedules are formally documented in individually executed Statements of Work.

3. Intellectual Property Rights

Upon receipt of full payment for agreed milestones, the Client receives an irrevocable, perpetual, non-exclusive license (or full ownership as defined in the specific SOW) to utilize, implement, and modify all custom architectural diagrams, interface schemas, and runbook documentation generated specifically for their engagement.

Systemaxisbase retains all rights, title, and interest in and to its pre-existing methodologies, proprietary audit frameworks, generalized design patterns, and consulting tools utilized during the provision of services.

4. Confidentiality & Non-Disclosure

Both parties agree to hold all proprietary technical information, system architectures, credentials, database designs, and trade secrets in strict confidence. Confidential information shall only be disclosed to designated personnel directly involved in the execution of the engagement.

5. Warranties & Limitation of Liability

Our architectural blueprints and consulting recommendations are prepared in accordance with industry best practices and proven engineering standards. However, because production implementations depend on the Client's internal engineering execution, infrastructure providers, and third-party software vendors, Systemaxisbase does not guarantee uninterrupted operational uptime or third-party service stability.

To the maximum extent permitted by the laws of Taiwan, Systemaxisbase's cumulative aggregate liability arising from any engagement shall not exceed the total advisory fees paid by the Client under the applicable Statement of Work in the three (3) months preceding the claim.

6. Governing Law & Dispute Resolution

These Terms and all consulting agreements shall be governed by and construed in accordance with the laws of Taiwan (Republic of China). Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Taiwan New Taipei District Court in the first instance.
